Terms of Service

These Terms of Service ("Terms") govern Your access to and use of Fixu (the "Service"), an iOS application and custom keyboard that provides AI-powered Japanese grammar and tone feedback. Please read these Terms carefully before using the Service.

By downloading, accessing, or using the Service, You agree to be bound by these Terms. If You do not agree to these Terms, You may not access or use the Service.

Interpretation and Definitions

Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Definitions

For the purposes of these Terms of Service:

  • Application or Service refers to Fixu, the software program and custom keyboard provided by the Company.
  • Company(referred to as either "the Company", "We", "Us" or "Our" in these Terms) refers to Fixu.
  • Account means a unique account created for You to access the Service or parts of the Service.
  • Content refers to text, suggestions, and other material that is generated, displayed, or made available through the Service.
  • Device means any device that can access the Service, such as a computer, a cellphone, or a digital tablet.
  • Country refers to: California, United States.
  • You means the individual accessing or using the Service, or the company or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

Eligibility

You must be at least 13 years old to use the Service. By using the Service, You represent and warrant that You meet this age requirement and that You have the legal capacity to enter into these Terms. If You are using the Service on behalf of an organization, You represent that You have the authority to bind that organization to these Terms.

Accounts

When You create an Account with Us, You must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of these Terms and may result in immediate termination of Your Account.

You are responsible for safeguarding the credentials used to access the Service and for any activity or actions taken under Your Account. You agree not to disclose Your credentials to any third party. You must notify Us immediately upon becoming aware of any breach of security or unauthorized use of Your Account.

You are responsible for maintaining the confidentiality of Your Account and for all activities that occur under Your Account, whether or not You have authorized such activities.

The Keyboard and Grammar Analysis

The Fixu keyboard provides continuous AI-powered Japanese grammar and tone feedback. To do this, text You type using the Fixu keyboard is transmitted from Your Device to Our servers, analyzed, and suggestions are returned to Your Device in real time. The keyboard is only active when You have explicitly switched to it, and it does not transmit text from fields marked as secure by the host app (such as password fields).

Your use of the keyboard and the handling of text You submit is also governed by Our Privacy Policy. By enabling and using the keyboard, You acknowledge and agree to the data practices described there.

AI-Generated Suggestions

The Service uses artificial intelligence to generate grammar, tone, and writing suggestions. These suggestions are provided for informational and educational purposes only. While We strive for accuracy, AI systems can produce results that are incomplete, inaccurate, or inappropriate for a given context.

You are solely responsible for reviewing and deciding whether to accept any suggestion. The Company makes no guarantee that suggestions will be correct, suitable, or appropriate for any particular purpose, and You use them at Your own discretion and risk.

Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party right.
  • Upload or transmit unlawful, harmful, threatening, abusive, harassing, or otherwise objectionable content.
  • Attempt to gain unauthorized access to the Service, other accounts, or Our systems or networks.
  • Interfere with, disrupt, or impose an unreasonable load on the Service or its infrastructure.
  • Reverse engineer, decompile, or disassemble any part of the Service, except as permitted by law.
  • Use any automated means to access the Service or scrape, harvest, or collect data from the Service.
  • Use the Service to develop a competing product or train a competing machine learning model.

We reserve the right to investigate and take appropriate action, including suspending or terminating Your Account, against anyone who, in Our sole discretion, violates this section.

Subscriptions and Payments

Some parts of the Service may be offered on a paid subscription basis. Subscriptions are billed in advance on a recurring, periodic basis (such as monthly or annually) through the Apple App Store, in accordance with the pricing displayed at the time of purchase.

Your subscription automatically renews under the same conditions unless You cancel it at least 24 hours before the end of the current period. You can manage and cancel Your subscription through Your Apple App Store account settings. Payment will be charged to Your Apple ID account at confirmation of purchase.

Except where required by applicable law, payments are non-refundable. Refund requests are handled by Apple in accordance with the App Store terms. We may change subscription fees upon reasonable advance notice; changes will not apply retroactively to the current billing period.

Free Trials

We may, at Our sole discretion, offer a subscription with a free trial for a limited period. If You do not cancel before the trial ends, You may be charged the applicable subscription fee. We reserve the right to modify or withdraw free trial offers at any time without notice.

Intellectual Property

The Service and its original content (excluding content You submit), features, and functionality are and will remain the exclusive property of the Company and its licensors. The Service is protected by copyright, trademark, and other laws of both the Country and foreign jurisdictions. Our trademarks may not be used in connection with any product or service without Our prior written consent.

Subject to Your compliance with these Terms, the Company grants You a limited, non-exclusive, non-transferable, revocable license to download and use the Application on a Device that You own or control, solely for Your personal, non-commercial use.

Your Content

You retain all rights to the text You type and submit through the Service. By submitting text, You grant the Company a limited license to process, transmit, and analyze that text solely to provide the Service to You and to improve Our language models, as described in the Privacy Policy.

You are solely responsible for the content You submit and represent that You have all necessary rights to do so and that Your content does not violate the rights of any third party or any applicable law.

Third-Party Services

The Service relies on third-party service providers, including cloud infrastructure and AI model providers, to function. The Service may also contain links to third-party websites or services that are not owned or controlled by the Company. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. Your use of third-party services is governed by their own terms.

Termination

We may terminate or suspend Your Account and access to the Service immediately, without prior notice or liability, for any reason, including if You breach these Terms.

You may terminate Your Account at any time by discontinuing use of the Service and deleting the Application. Upon termination, Your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Disclaimer of Warranties

The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. The Company does not warrant that the Service will be uninterrupted, secure, error-free, or that suggestions generated by the Service will be accurate or reliable.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event will the Company or its suppliers be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to Your use of or inability to use the Service. The Company's total liability for all claims relating to the Service shall not exceed the greater of the amount You paid to Us in the twelve months preceding the claim, or USD 100. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to You.

Indemnification

You agree to defend, indemnify, and hold harmless the Company and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with Your access to or use of the Service, Your content, or Your violation of these Terms.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect.

Apple App Store Terms

These Terms are between You and the Company only, and not with Apple. Apple is not responsible for the Service or its content. To the extent the Application is downloaded through the Apple App Store, You also agree to comply with Apple's applicable Usage Rules set out in the Apple Media Services Terms and Conditions. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against You.

Changes to These Terms

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, We will make reasonable efforts to provide notice prior to any new terms taking effect, such as by updating the "Last updated" date at the top of this page or by notifying You within the Service.

By continuing to access or use the Service after revisions become effective, You agree to be bound by the revised Terms. If You do not agree to the new Terms, You must stop using the Service.
